1.1 Acceptance. By accessing or using the Site, you agree to these Terms. Where the Site presents these Terms with an action such as submitting an inquiry, taking that action confirms your agreement. Our Privacy Policy separately explains how we handle personal information and is not part of these Terms. If you do not agree, please do not use the Site.
1.2 Eligibility. The Site is intended for business professionals aged 18 or over.
1.3 Authority. If you use the Site on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and "you" means both you and that organization.
1.4 Electronic communications. You agree to receive communications about your inquiry and use of the Site electronically.
2. Service agreements come first
2.1 All services we perform for a client are governed by a separate written service agreement, including any statement of work and data-processing terms. If these Terms conflict with that agreement, the agreement prevails on its subject matter.
2.2 The Site itself creates no engagement. Nothing on the Site, and no inquiry you submit, creates a consulting, agency, fiduciary, employment, partnership or joint-venture relationship; an engagement begins only when our authorized representative signs a written agreement. Service descriptions on the Site are illustrative and are not an offer capable of acceptance.
3. General information, not professional advice
3.1 General information. Site content is for general information and marketing only. It is not legal, tax, accounting, securities, investment, immigration, customs, product-certification, employment or other professional advice, and it is no substitute for advice from a professional you retain.
3.2 Regulated services are performed by licensed providers. Happy Global Inc. contracts with clients for the services and coordination activities specified in written service agreements. Legal, tax, immigration, customs, freight, employer-of-record (EOR), PEO and insurance services that require professional licensing or other authorization are performed by appropriately licensed or authorized independent third-party providers, under separate agreements with clients where required or through other legally permitted arrangements. Happy Global Inc. does not itself provide regulated professional services requiring licenses it does not hold and is not a law firm, accounting firm, broker-dealer or investment adviser.
3.3 Please don't rely on it alone. Get advice suited to your circumstances before acting. To the maximum extent permitted by law, we disclaim liability arising from reliance on Site content.
3.4 Forward-looking statements. Anything we say about market trends, growth paths or potential outcomes rests on assumptions that may not hold; it is not a prediction or promise.
3.5 No guaranteed results. We do not guarantee any business outcome, including channel or retailer acceptance, hiring or placement, visa approval, bank account opening, customs clearance, tax results or a listing. Past results do not guarantee future results.
4. Your license to use the Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal evaluation of our services. You may print or download a reasonable number of pages for internal reference if you keep our copyright and proprietary notices and do not modify the content. All rights not expressly granted are reserved.
5. Contacting us through the Site
5.1 Accuracy. Please give accurate, current information and do not misrepresent your identity, employer, title or authority.
5.2 No sensitive or third-party information. Please do not submit sensitive personal information, payment or bank details, government ID numbers, health information, confidential material you are not authorized to share, or other people's personal information, including candidate names, résumés or contact details.
5.3 Submissions are not confidential yet. Until a written confidentiality agreement is in place, information you send by email or WeChat creates no duty of confidentiality and no engagement, agency, attorney-client or other professional relationship. If you would like an NDA first, tell us.
5.4 No misuse. Our contact channels are not for unsolicited commercial offers, spam, phishing, recruitment solicitations or automated submissions. We handle your personal information under our Privacy Policy.
6. Intellectual property
6.1 Ownership. The Site and its content, including text, service descriptions, images, video, layout, design and code, are owned by or licensed to Happy Global Inc. and protected by intellectual property laws in the United States, China and elsewhere.
6.2 Our marks. "Happy Global", "Happy Global Service" and our logos, mascot and service names are trademarks or service marks of Happy Global Inc. Do not use them without written permission, other than for fair and accurate reference.
6.3 Others' marks. Other company names and marks on the Site belong to their owners; their appearance does not imply partnership or endorsement.
6.4 Ask first. Except as section 4 or mandatory law allows, do not reproduce, republish, distribute, publicly display, sell, license, adapt, frame, mirror, systematically download or commercially exploit any part of the Site without written consent, other than brief quotation with attribution when referring to us.
7. Scraping and AI training
We expressly reserve all rights in the Site and its content. Without our written consent, you may not carry out text and data mining or web scraping, or use Site content to develop, train, fine-tune, evaluate or improve any artificial intelligence or machine-learning model; general-purpose search engines that respect our robots.txt directives are excepted. We may also express this reservation by machine-readable means such as robots.txt.
8. Feedback and ideas
8.1 If you send suggestions about the Site or our services ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, irrevocable license to use it for any purpose, without compensation, attribution or confidentiality.
8.2 Your business inquiry is not Feedback. We use it only to understand and respond to your request and, if an engagement follows, to perform it, as described in our Privacy Policy.
8.3 Please do not submit unsolicited proprietary concepts or confidential material through the Site.
9. Prohibited conduct
You may not:
- Use the Site for an unlawful purpose or in breach of applicable law, sanctions or export controls
- Misrepresent your identity, employer, title or authority, or impersonate anyone
- Submit false, misleading, spam or fraudulent inquiries
- Transmit viruses, ransomware or other malicious code
- Probe, scan or test the Site's vulnerability, or circumvent its security, without written authorization
- Interfere with or disrupt the Site, its servers or networks, including by denial-of-service attacks or excessive requests
- Use crawlers, bots or scrapers contrary to section 7
- Reverse engineer, decompile or disassemble Site software, except where the law prohibits this restriction
- Remove or alter any copyright, trademark or other proprietary notice
- Harvest personal information about our staff from the Site for recruiting, prospecting or dataset building
- Infringe our or anyone else's intellectual property, privacy or other rights
10. Monitoring and enforcement
We may monitor and log Site traffic for security, abuse-prevention and compliance purposes, as described in our Privacy Policy, but we have no duty to monitor. If we believe these Terms have been breached, we may take appropriate steps, including warnings, blocking IP addresses, suspending access, reporting to law enforcement or seeking civil remedies; where circumstances allow, we will generally raise the issue with you first. The Site does not host user content; if you have a concern about content we have published, please tell us.
11. Availability and accuracy
We aim to keep the Site running but do not guarantee uninterrupted access, and we may modify, suspend or discontinue the Site or any part of it at any time. Content may contain errors or outdated information; we may correct and update it at any time but have no duty to update it except as the law requires. If you spot an error, please tell us.
12. Recruitment, third-party sites and links
12.1 Recruitment and candidates. Descriptions of recruiting and executive search on the Site are for information only; those services are not delivered through the Site. Any candidate process, including submitting a résumé, takes place outside the Site under the terms and privacy notice given at that time. The Site does not accept job applications or résumés.
12.2 Third-party websites. The following linked sites are operated independently by affiliates of Happy Global Inc. and governed by their own terms: Glimboo Inc. (glimboo.com) and PulseOn Inc. (pulseonworld.com). happyglobals.com is operated by Happy Global Inc. and governed by the terms posted on that site. We do not control those companies' websites and are not responsible for their content, products, terms, privacy practices or security; a link is not an endorsement, and your dealings with third parties are between you and them.
12.3 Linking to us. You may link to our home page or a public page using our name in plain text, if the link is fair and lawful and does not harm our reputation. Do not frame the Site, imply an endorsement or affiliation that does not exist, or link from a site with unlawful, defamatory or infringing content. We may withdraw this permission on notice.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT ITS SERVERS ARE FREE OF HARMFUL COMPONENTS. This does not affect any guarantee, right or remedy that cannot lawfully be excluded.
14. Limitation of liability
14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER HAPPY GLOBAL INC. NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, ANTICIPATED SAVINGS, GOODWILL, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE.
14.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 AND (B) THE AMOUNT, IF ANY, YOU PAID US FOR ACCESS TO THE SITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. This cap applies to Site use only; liability for services is governed by the signed service agreement.
14.3 Nothing in these Terms limits or excludes liability for (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct; or (d) anything that cannot lawfully be limited or excluded.
15. Indemnification
You agree to defend, indemnify and hold harmless Happy Global Inc. and its affiliates, officers, directors, employees and agents from third-party claims, and related damages, liabilities, losses, costs and reasonable legal fees, arising from (a) your breach of these Terms; (b) your unlawful use of the Site; (c) information you submit through the Site, including other people's personal information submitted without a lawful basis; or (d) your infringement of anyone's intellectual property, privacy or other rights. We will notify you promptly of any such claim, and you may not settle it in a way that imposes an obligation or admission on us without our written consent.
16. Disputes and governing law
16.1 Talk first (all users). Before starting litigation, both parties agree to try to resolve a dispute informally for 60 days. The complaining party sends a written dispute notice (to us at service@happyglobalinc.com) with its name, contact details, a description of the dispute and the specific relief sought; either party may request a phone or video meeting, which the other will attend in good faith. To the extent the law allows, the 60-day period tolls any limitation period. This does not apply to a claim for injunctive relief to prevent imminent misuse of intellectual property.
16.2 U.S. users. These Terms are governed by the laws of the State of Texas, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Disputes not resolved under section 16.1 will be brought exclusively in the state or federal courts in Dallas County, Texas, and each party consents to jurisdiction and venue there.
16.3 Users in mainland China. These Terms are likewise governed by Texas law, and the courts of Dallas County, Texas have non-exclusive jurisdiction; we may also bring proceedings where you are established. Nothing in these Terms deprives you of rights under PRC law that cannot be excluded by agreement.
17. Copyright and other IP complaints
If you believe content on the Site infringes your copyright or other intellectual property, email service@happyglobalinc.com with "IP Complaint" in the subject line, or write to the address in section 1, including (a) your signature; (b) identification of the work or right; (c) the material at issue and where it appears; (d) your contact details; (e) a statement of your good-faith belief that the use is not authorized; and (f) a statement that the notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner. Knowingly submitting a materially false notice may create liability.
18. Accessibility
We want the Site to be accessible to everyone. If you have difficulty viewing or accessing any content, email service@happyglobalinc.com with "Accessibility Request" in the subject line, and we will provide an alternative.
19. Other terms
- Changes: we may revise these Terms and will post the updated version with its date; material changes will be highlighted on the Site. Changes are not retroactive and do not apply to a dispute we already knew about; continuing to use the Site after an update takes effect means you accept it.
- Term and termination: these Terms apply from your first visit. We may suspend or end your access at any time, and you may stop using the Site at any time. Sections 2, 3, 5.3, 6, 7, 8, 11, 13,14, 15, 16 and 19 survive.
- Notices: send notices to service@happyglobalinc.com and, for formal legal notices, also by courier to the address in section 1. We may send notices to the email address you gave us or post them on the Site.
- Severability and waiver: if a provision is invalid or unenforceable, it will be adjusted to the minimum extent needed to make it enforceable or, failing that, severed; the rest remains in force. Delay in enforcing a provision is not a waiver.
- Assignment: you may not assign these Terms without our written consent; we may assign them to an affiliate or in a merger, acquisition, reorganization or sale of assets.
- Force majeure: neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, war, government action, sanctions, cyber-attacks or internet outages.
- Relationship: nothing here creates a partnership, joint venture, agency, franchise or employment relationship.
- Entire agreement: these Terms are the entire agreement about use of the Site; the Privacy Policy separately covers personal information, and a signed service agreement prevails as section 2 describes.
- Interpretation: headings are for convenience; "including" means "including without limitation".
- Language: these Terms are available in Chinese and English; if they differ, the English version prevails.
